Terms and Conditions

1. Introduction

Welcome to Teach & Plan. These Terms and Conditions govern your use of the Teach & Plan mobile application and any related services provided by us. By accessing or using our application, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the application.

2. Definitions

Throughout these Terms and Conditions, the following terms shall have the meanings assigned to them:

  • "Application" refers to Teach & Plan mobile application.
  • "User," "You," and "Your" refers to the individual accessing or using the Application.
  • "Company," "We," "Us," and "Our" refers to Teach & Plan and its operators.
  • "Content" refers to text, images, audio, video, and any other material that can be created, uploaded, posted, or shared on the Application.
  • "User Data" refers to any information, including personal data and educational records, that you input, upload, or store in the Application.

3. Account Registration

To use certain features of the Application, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Maintain the security of your account by not sharing your password and restricting access to your account and device.
  • Promptly notify us of any security breaches or unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to terminate accounts, remove or edit content, or cancel subscriptions at our sole discretion.

4. Subscription and Payment

Teach & Plan offers both free and premium paid subscription plans. For paid subscriptions:

  • Subscription fees are charged in advance on a monthly or annual basis, as selected by you.
  • Payment will be charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.
  • No refunds will be granted for any partially used subscription periods.

Prices are subject to change. We will notify you of any price changes before they take effect.

5. User Data and Privacy

You retain all rights to your User Data. However, by using the Application, you grant us a non-exclusive, royalty-free license to use, store, and process your User Data solely for the purpose of providing the Application's services to you.

We respect your privacy and handle your personal information in accordance with our Privacy Policy. By using the Application, you consent to such processing and you warrant that all data provided by you is accurate.

You are solely responsible for ensuring that your collection, storage, and use of student or client information complies with all applicable laws and regulations, including but not limited to educational privacy laws.

6. Acceptable Use

When using the Application, you agree not to:

  • Use the Application in any way that violates any applicable local, state, national, or international law or regulation.
  • Use the Application to store, process, or transmit material that infringes on the intellectual property rights of others.
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Application, the server on which the Application is stored, or any server, computer, or database connected to the Application.
  • Attack the Application via a denial-of-service attack or a distributed denial-of-service attack.
  • Use the Application in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Application.
  • Use any robot, spider, or other automatic device, process, or means to access the Application for any purpose, including monitoring or copying any of the material on the Application.

7. Intellectual Property

The Application and its original content (excluding User Data), features, and functionality are and will remain the exclusive property of Teach & Plan and its licensors. The Application is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Teach & Plan.

8. Limitations of Liability

IN NO EVENT SHALL Teach & Plan, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR APPLICATION; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR APPLICATION; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR APPLICATION BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

9. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Teach & Plan, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT (I) THE APPLICATION WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (III) THE APPLICATION IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE APPLICATION WILL MEET YOUR REQUIREMENTS.

10. Data Backup

While we implement reasonable data backup procedures, you are solely responsible for creating and maintaining backup copies of any User Data you input into the Application. We shall not be liable for any loss of data or content if you fail to comply with this requirement.

11. Indemnification

You agree to defend, indemnify, and hold harmless Teach & Plan and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (i) your use and access of the Application, (ii) your violation of any term of these Terms, (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right, or (iv) any claim that your User Data caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Application.

12. Termination

We may terminate or suspend your account and access to the Application immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Application will immediately cease. If you wish to terminate your account, you may simply discontinue using the Application or delete it from your devices.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Application after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Application.

15. Entire Agreement

These Terms constitute the entire agreement between you and Teach & Plan regarding our Application and supersede all prior and contemporaneous written or oral agreements between you and Teach & Plan.

You may be subject to additional terms and conditions that may apply when you use or purchase certain other services, affiliate services, third-party content, or third-party software.

16. User-Uploaded Content and Documents

When uploading images for avatars, profile pictures, or documents to the Application, you agree to the following:

  • You will not upload any content that infringes upon intellectual property rights, including copyrights, trademarks, or other proprietary rights of any third party.
  • You will not upload any content that is illegal, unlawful, harmful, abusive, harassing, threatening, defamatory, obscene, or otherwise objectionable.
  • You will not upload any content that depicts or promotes sexually explicit material, pornography, violence, discrimination, or illegal activities.
  • You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and upload any content, and that such content does not violate the rights of any third party.
  • We reserve the right, but not the obligation, to review, monitor, or remove any content that we consider, in our sole discretion, to violate these Terms or to be otherwise illegal, offensive, or inappropriate.
  • You are solely responsible for securing and backing up your content. We are not responsible for any loss or corruption of user-uploaded content.
  • By uploading content to the Application, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process that content for the purpose of providing and improving our services.
